Terms governing self-serve access to Metricanic's public paid beta software-as-a-service platform, website, APIs, tracking infrastructure, reporting tools, integrations, and related services.

Contracting Entity and Beta Scope
These Terms are between the customer and BushWell Inc., which operates Metricanic. Metricanic is available as a public paid beta with self-serve signup, plan selection, checkout, and product access where supported by the current service.
Metricanic is offered as a public paid beta. Beta features may change, have limited support or SLA commitments, and may be unavailable or incomplete. No production-grade SLA applies unless separately agreed in writing. Some integrations or advanced features may require configuration, approval, or plan eligibility. The beta label does not remove the customer's obligation to pay applicable fees, follow these Terms, or comply with applicable law.

Business Use Only
Metricanic is provided for business, professional, agency, affiliate, media buying, and performance marketing use. It is not intended for personal, household, family, or consumer use.
By creating an account, accepting these Terms, buying a plan, starting a trial, or using the service, you represent that you are using Metricanic for business or professional purposes and, if acting for an entity, that you have authority to bind that entity.
Accounts, Plans, and Billing
You must provide accurate account information and keep it current. You are responsible for all activity under your account, workspace, users, API keys, integrations, tracking domains, and related credentials.
Metricanic may offer paid subscription plans, trials, usage-based features, overage billing, and other commercial terms. Billing may be processed through Stripe. You authorize Metricanic and its payment processor to charge applicable fees, taxes, usage charges, overages, and renewals according to the plan and checkout terms you accept.
Unless otherwise stated in an order form or checkout flow, subscriptions renew automatically until canceled. Cancellation stops future renewals but does not automatically refund prior charges. Fees are non-refundable except where required by law or expressly stated in a checkout flow, order form, or written refund policy.
Customer Tracking Responsibilities
Metricanic provides tools for tracking, attribution, routing, reporting, postbacks, and integrations. Customer, not Metricanic, determines campaigns, audiences, offers, landing pages, traffic sources, redirects, postbacks, integrations, tracking domains, cookies and scripts deployment, whether and how visitors are tracked, legal bases, consent flows, opt-outs, privacy notices, and ad platform compliance.
Customer represents and warrants that it has all rights, permissions, consents, opt-outs, notices, lawful bases, platform permissions, and contractual permissions needed to use Metricanic and provide Customer Data to Metricanic.
Customer is solely responsible for its use of Metricanic, including lawful collection and use of Customer Data, required privacy notices, cookie notices, consents, opt-outs, Do Not Sell or Share handling where applicable, campaign-specific GDPR, ePrivacy, PECR, CPRA, PIPEDA, Quebec Law 25, traffic source, affiliate network, publisher, advertiser, app store, and Google Ads obligations, legality of landers, offers, funnels, and content, and the accuracy and legality of data submitted to Metricanic.
Metricanic does not provide legal, privacy, advertising compliance, platform compliance, tax, or regulatory advice. Customer must obtain its own professional advice.
- Customer is responsible for lawful tracking, attribution, analytics, advertising measurement, and postback use.
- Customer must provide required privacy notices and cookie notices.
- Customer must obtain and record required consent for cookies, tracking, analytics, advertising, profiling, attribution, and similar technologies.
- Customer must honor opt-outs, withdrawal of consent, Do Not Sell or Share requests, and similar privacy choices where applicable.
- Customer must comply with traffic source, ad platform, affiliate network, publisher, advertiser, app store, and partner rules.
- Customer is responsible for determining whether each campaign, offer, landing page, traffic source, tag, script, cookie, postback, API call, Google Ads upload, or enabled integration is lawful and permitted.
Prohibited Sensitive Data
You must not submit, transmit, store, encode, or cause Metricanic to process regulated sensitive data unless Metricanic has separately approved the use case in writing.
Metricanic may delete, quarantine, restrict, suspend, or require remediation if customer submits prohibited sensitive data or creates unacceptable legal, security, or platform risk.
- Health or medical data, financial account or payment card data beyond payment metadata handled by approved payment processors, government ID data, children's data, precise sensitive location data, biometric data, passwords, secrets, and other regulated sensitive data.
- Sensitive data in URLs, tokens, subids, pubids, external IDs, click IDs, visit IDs, campaign names, lander names, offer names, ad names, creative names, entity names, postback parameters, custom fields, redirect URLs, landing page URLs, referrers, API payloads, imported files, integration payloads, notes, labels, or support attachments.
Acceptable Use and Enforcement
- Do not violate applicable laws or third-party rights.
- Do not interfere with or disrupt the service, bypass security, rate limits, billing controls, plan limits, or access controls.
- Do not use Metricanic for unlawful tracking, deceptive redirects, cloaking, credential theft, phishing, malware, sanctions evasion, unauthorized scraping, or privacy-invasive activity.
- Metricanic has no obligation to monitor, review, approve, or police customer campaigns, offers, landing pages, traffic sources, redirects, postbacks, integrations, scripts, tags, domains, or customer-controlled properties.
- Metricanic may investigate, restrict, suspend, remove, quarantine, or terminate access when Metricanic detects or reasonably suspects risk, abuse, prohibited data, platform-policy risk, security risk, legal risk, unlawful use, unpaid fees, infrastructure risk, or violation of these Terms.
Integrations
Metricanic may integrate with third-party services, including Stripe, Google Ads, OpenAI or ChatGPT MCP, Cloudflare, Supabase, BigQuery, and other providers. Third-party services are governed by their own terms, privacy policies, API policies, platform rules, and availability.
If you enable Google Ads integration, you are responsible for ensuring conversion uploads and consent handling comply with Google Ads policies and applicable law. Some Google Ads features may require configuration, approval, or plan eligibility.
If you enable OpenAI or ChatGPT MCP, the integration is designed to exclude raw IPs, raw user agents, raw URLs, secrets, and write access.
Data Processing Addendum
The Metricanic Data Processing Addendum applies where Metricanic processes personal data as a processor or service provider on behalf of a customer: https://metricanic.com/dpa

Intellectual Property and Confidentiality
Metricanic and its licensors retain all rights in the service, software, documentation, trademarks, and related technology. Customers retain rights in their customer data, subject to the rights needed for Metricanic to provide and secure the service.
Each party may receive non-public information from the other party. Each party will protect the other party's confidential information using at least reasonable care and will use it only to perform or receive the service, enforce agreements, comply with law, or protect rights and security.
Warranty Disclaimer
To the maximum extent permitted by law, Metricanic provides the service on an as-is and as-available basis and disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, data accuracy, traffic quality, conversion accuracy, revenue accuracy, ad platform compliance, and third-party service availability.
Metricanic does not guarantee campaign performance, campaign approval, traffic quality, advertising return, conversion rates, revenue, profit, attribution accuracy, postback delivery, Google Ads upload acceptance, or continued availability of any third-party platform, traffic source, ad network, integration, tracking domain, browser feature, cookie mechanism, or API.
Limitation of Liability
To the maximum extent permitted by law, Metricanic will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business, revenue, traffic, advertising spend, or anticipated savings.
To the maximum extent permitted by law, Metricanic's aggregate liability for all claims arising out of or relating to the service or these Terms will not exceed the fees paid by customer to Metricanic during the 3 months before the event giving rise to the claim, or CAD 100, whichever is greater, except where liability cannot legally be limited.
Customer Indemnity
Customer will defend, indemnify, and hold harmless Metricanic and its affiliates, officers, directors, employees, contractors, and agents from and against claims, investigations, penalties, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to customer campaigns, unlawful tracking, missing consent, missing notices, opt-out failures, Do Not Sell or Share failures, illegal landers, offers, funnels, or content, traffic source or ad platform violations, Google Ads uploads, postbacks, prohibited sensitive data, customer-provided data, misuse of Metricanic, or customer breach of these Terms or the DPA.
Governing Law and Venue
These Terms are governed by the laws of Alberta and applicable federal laws of Canada, without regard to conflict of law rules.
Subject to any informal dispute process the parties choose to use, the parties submit to courts with jurisdiction in Alberta, Canada for disputes arising out of or relating to these Terms or the service.
